RB Healthier Tomorrow Challenge
By submitting this Consent Form (the “Form”) and agreeing to the Terms and Conditions set out herein, you (“you”, “your”) provide your consent to Reckitt Benckiser (Brands) Ltd (“RB”, “we”, “our” or “us”) using your personal data for the purpose of the Campaign.
Please take some time to read the following terms and Conditions and the Consent Form carefully in order to make an informed decision about whether you wish to take part in this Campaign and consent to the use and disclosure of your personal data in the ways described below.
‘Submission’ shall mean, an entry to the Campaign by a Participant, including all of the contents of the entry.
‘Participant’ shall mean, a natural person or legal entity who enters a Submission to the Campaign.
ELIGIBILITY
Participation is open to individuals and companies (“Participants” or “Campaign Owners”) who are raising funds through a campaign on Indiegogo.com (“Campaign”), who have been selected by RB or Indiegogo, and who have opted into the Campaign. Participating Indiegogo Campaigns must at all times during the Campaign be permitted by and launched and managed in compliance with (i) Indiegogo’s Terms of Use posted at www.indiegogo.com/about/terms and Indiegogo’s Trust and Safety Standards posted at www.indiegogo.com/trust, both of which are incorporated into these Terms and Conditions by reference.
Individual Participants: All individual entrants must be at least eighteen (18) years of age and older when they opt into the RB Campaign.
Corporate Participants: In order for a company to enter, an authorized representative, who has the authority to bind the company, must make a Submission and agree to these Termsand Conditions on behalf of the company. The company, and not the authorized representative, will receive any benefit awarded.
Employees, officers, and directors of RB, Indiegogo, and their parents, subsidiaries, affiliates, partners, advertising and promotion agencies, and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) are not eligible to be Participants. RB maintains the right, in its sole and absolute discretion, to determine eligibility and to deny or terminate participation in the Campaign for any reason. Proof of eligibility must be furnished upon request, and Participants may be required to submit an affidavit of eligibility upon request. By opting into this Campaign, each Participant fully and unconditionally agrees to be bound by the Terms and Conditions and the decisions of RB, which shall be final and binding in all respects.
DESCRIPTION:
The Program starts at 12:01AM EST on November 17, 2016 and ends at 11:59PM EST on March 27, 2017. The Program Submission Period consists of a submission phase that begins on November 17, 2016 at 12:01AM EST and ends on February 28, 2017 at 11:59PM EST. The final winners will be selected on or about March 27, 2017.
HOW TO PARTICIPATE:
Phase 1: NO PURCHASE IS NECESSARY TO ENTER OR WIN. Between 12:01AM EST on November 17, 2016 and ends at 11:59PM EST on February 28, 2017 (the “Program Submission Period”), interested Participants will need to submit their projects at https://enterprise.indiegogo.com/RBHealthierTomorrow/submit/ and are required to provide all the information and materials requested by RB that may include, among other information, the specific details of your concept including but not limited to a brief description, stage of product development, and photographs (allowed file types include .jpg, .gif, .png, and .pdf) (collectively, the “Program Submission”).
By submitting to the Program, Participant acknowledges that RB may contact Participants regarding participation in this Program via email, phone, or mail, and that Participants are participating at their own expense and risk without any promises, representations, or warranties of any type, express or implied.
Phase 2: Upon selection by RB on or about March 7, 2017, the Finalists will receive an invitation to discuss their projects with RB experts by phone during the period on or about March 7, 2017 and March 26, 2017.
SUBMISSIONS:
Submissions must meet the following requirements:
- Submissions must be written in the English language;
- Submissions must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity, or intellectual property rights;
- Submissions must not have been submitted or entered into any other contest or competition;
- Submissions must not disparage the Contest Entities or any other person or party affiliated with the Contest;
- Submissions must not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous, derogatory, or libelous;
- Submissions must not contain material that promotes bigotry, racism, hatred, or harm against any group or individual, or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; and
- Submissions must not contain material that is unlawful, in violation of, or contrary to the laws or regulations in any state where the Submission is created.
Any Submission that violates these requirements is subject to disqualification.
Submissions that are late or incomplete for any reason will be discarded and will not be considered. While RB does not charge a fee for submission or continued participation in the Campaign, by applying to the Campaign, each Participant acknowledges and agrees that he or she is participating at his or her own expense and risk without any promises, representations, or warranties of any type, express or implied.
Participants shall:
- Cooperate with RB in all matters relating to the Campaign;
- Provide such materials or information as RB may reasonably request to carry out the Campaign in a timely manner and ensure that such materials or information is complete and accurate in all material respects; and
- Obtain and maintain all necessary licenses and consents and comply with all applicable laws in relation to the Campaign.
GENERAL
RB reserves the right to amend these Terms and Conditions or cancel the Campaign in its absolute discretion and without prior notice. RB, in its sole discretion, reserves the right to disqualify any Participant not abiding by the Terms and Conditions, or for tampering with the voting or judging process. Such termination shall take effect immediately. Upon such termination, the Participant shall promptly return to RB all tangible documents and materials (and any copies) containing, reflecting, incorporating, or based on the Confidential Information (as defined below).
Participant may terminate its participation in the Campaign upon written notice to RB, but RB may retain the Participant’s information after termination in accordance with regulatory, accounting, and legal compliance procedures.
Insofar as is permitted by law, RB, Indiegogo, their agents or distributors will not in any circumstances be responsible or liable to compensate the Winners or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the Incentive except where it is caused by the negligence of RB, Indiegogo its agents or distributors or that of their employees. Your statutory rights are not affected.
DURATION, SELECTION AND NOTIFICATION
The Campaign will commence on November 17, 2016 and will end on March 27, 2017(“Campaign Period”). Judging will commence at Reckitt Benckiser on March 7, 2017 and the successful short listed submission will be contacted within thirty (30) calendar days following the end of the Campaign Period via email and telephone.
All participants must continue to comply with the Terms and Conditions, and future opportunities are contingent upon fulfilling all requirements. By participating in a Campaign each Participant consents and authorises to work with RB in order to promote the Campaign, submission and associated media activities including using the participant’s name, image and innovation product. Participants may be required to participate in any post-competition publicity (including press releases).
SELECTION PROCESS
The Program will begin on November 17, 2016 and will last through March 27, 2017 (“Program Period”).
Submissions in Phase 1 will be judged by a panel of judges at RB on their product fit within RB’s key categories (found at enterprise.indiegogo.com/RBHealthierTomorrow and demonstration of strong market validation. Weighting criteria for judging submissions includes:
- The project must fall within RB specified categories found at enterprise.indiegogo.com/RBHealthierTomorrow (25%)
- The project must provide a valuable product or service (25%)
- The project must have demonstrated market validation, as evidenced by Indiegogo campaign or otherwise (25%)
- The project must support people in leading healthier lives (25%)
Up to 50 “Finalists” will be chosen by RB judges based on the outlined criteria above on or about March 7, 2017 to advance to Phase 2.
The RB team will then select up to 5 final “Winners” from these Finalists during Phase 2 to receive the Prizes (set out below) on or about March 27, 2017. These Winners will be selected based on their products fit based on above criteria as demonstrated through their submission entries and phone interviews.
INCENTIVES
Up to five “Winners” will receive a coach/economy flight from a major airport nearest the winner’s residence (in the US or Europe only) to London, United Kingdom (flight chosen by RB) to visit RB in Slough, United Kingdom, one night’s stay in a hotel (chosen by RB) between the dates of April 1, 2017 and April 30, 2017. Specific travel dates and location are up to RB’s discretion. The Winners must be able to travel in accordance with industry standard travel requirements. During the trip to the United Kingdom reasonable expenses for meals and transport to and from departure airport, subject to meeting RB’s expenses criteria will be paid by RB. All other ancillary costs, including travel insurance are the responsibility of the winners. The Incentives or any unused portion of the Incentives, is not transferable or exchangeable for other goods or services and cannot be taken as cash.
INTELLECTUAL PROPERTY RIGHTS
Unless otherwise agreed by the parties in writing, all Existing Intellectual Property Rights (means any Intellectual Property Rights which exist prior to the date of signature of this document are and shall remain the exclusive property of the party owning them. Other than as expressly set out herein, nothing in this Document shall confer any rights in or to the Existing Intellectual Property Rights of the other party.
The Participant represents and warrants that it is the owner or licensee of all intellectual property relating to the Campaign and the solution therein.
By participating in the Campaign, Participants represent and warrant that (a) the Submission to Campaign contains only original creations, (b) entrant owns or has sufficiently and validly licensed in writing 100% of all rights to the Submission and Campaign (including all copyrights and intellectual property and property ownership rights in the contained therein), (c) the Submission to the Campaign do not contain any third party trade secret or confidential materials, and (d) a Submission to the Campaign do not infringe any third party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, publicity right, patent, trade secret or confidentiality obligation; or otherwise violate any applicable law, and (e) the solution and Indiegogo Campaign require no additional permissions relating to the copyright, patent, or trademark/trade dress of the submission submitted in this Campaign . By accepting Submissions for the Campaign, RB accepts no responsibility or liability for any breach of contract or any infringement or other violation of copyright, patent, or any other intellectual property right or proprietary or property rights. Each participant agrees not to submit any solution or Campaign that (a) infringes any third party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, publicity right, patent, trade secret or confidentiality obligation; (b) breaches any contract with any third party; or (c) otherwise violates applicable law.
CONFIDENTIALITY
RB agrees that all non-public, confidential or proprietary information of Participant, including, but not limited to, trade secrets, technology, information pertaining to business operations and strategies, and information pertaining to customers, pricing, and marketing (collectively “Confidential Information”), disclosed by Participant to RB, whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated or otherwise identified as “confidential,” in connection with the Campaign and these Terms and Conditions is to be treated as strictly confidential, and shall not be disclosed or copied by RB without the prior written consent of Participant.
All Confidential Information of RB disclosed by RB to Participant, whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated or otherwise identified as “confidential,” in connection with the Campaign and these Terms and Conditions is to be treated as strictly confidential, and shall not be disclosed or copied by Participant without the prior written consent of RB.
Confidential Information does not include information that is (i) in the public domain; (ii) known to the receiving party at the time of disclosure; or (iii) rightfully obtained by the receiving party on a non-confidential basis from a third party. Participant agrees not to use any Confidential Information for any purposes except as required for participation in the Campaign. Participant shall notify RB immediately in the event Participant becomes aware of any loss or disclosure of any Confidential Information. RB shall be entitled to seek injunctive relief for any violation of this Section.
PRIVACY
RB, whose registered office is located at 103-105 Bath Road, Slough SL1 3UH, United Kingdom, is the data controller for the purposes of the UK Data Protection Act 1998 (the “Data Protection Act”).
RB will always be mindful of its obligations under the Data Protection Act when processing your personal data. Among complying with other requirements, this means that we will only process your personal data for the purposes described in this Form. We will not willingly collect sensitive personal data about you and we ask that you refrain from sharing such data unless it is absolutely necessary for the purposes of the Campaign.
By taking part in this Campaign, you agree to our processing any personal data (including your name, contact details and other information) that you provide us, for the purposes set out in this Form.
We will use your personal data for the purposes of the Campaign. We will not use your personal data for any marketing purposes and we will not make public any information you provide us and that you have not already made public in a way that would allow you to be identified.
We may share your personal with other companies in the Reckitt Benckiser group, which may be located in different countries, including outside of the European Economic Area. We may also share your personal data with trusted third parties who may help us with the Campaign and which may be located in other countries. In particular, your data will be shared with Indiegogo, which is providing the platform on which the campaigns are run and which is located in the USA.
We will only retain personal data about you in a form that identifies you for as long as this is necessary for the purposes described in this Form, subject to any legal obligations we may have to keep your personal data for a longer period of time.
We have implemented appropriate technical and organisational measures to ensure that we keep your personal data and your sensitive personal data secure and to protect it against accidental or unlawful destruction or accidental loss, alteration, unauthorised disclosure or access and against all other unlawful forms of processing.

GOVERNING LAW
These Terms and Conditions and any action or proceedings related to the Campaign shall be governed by be governed by English law and the parties submit to the non-exclusive jurisdiction of the English courts in respect thereof.
By submitting this Form you confirm the following:
- You acknowledge that you have understood and agreed to the terms contained in this Terms and Conditions and Consent Form.
- You acknowledge that RB may already be independently working on the same technology as covered by my Submission and that you will not therefore assert any intellectual property rights against RB in this respect
- You acknowledge that you have taken appropriate legal advice prior to submitting your innovation Submission.
- You acknowledge that you are free to make this Submission and that by doing so you are not infringing any prior obligation of confidentiality.
- You shall not make, or permit any person to issue a press release or make any public announcement other public communication including social media concerning this Agreement without the prior written consent of RB.
- You agree to your personal data is being processed by RB as described above and you understand this will include transferring it outside of the UK.
If you do not agree to all of the above, you should not submit this Form and participate in the Community.
